Maker Agreement

This Maker Agreement sets out the terms that apply when you register as a maker and sell products through MakerVA.

MakerVA is operated by Ashley Harrison trading as MakerVA. You can contact MakerVA at hello@makerva.co.uk.

By registering as a maker or offering products for sale through MakerVA, you agree to these terms.

1. About MakerVA

MakerVA is an online marketplace designed to enable eligible independent makers to showcase and sell their products.

MakerVA provides the marketplace platform. Unless explicitly stated otherwise, products listed by independent makers are sold by the maker responsible for that listing.

The maker is responsible for their products and for complying with the laws and regulations applicable to their business and products.

2. Eligibility to sell

MakerVA is intended to support products created or made by disabled makers.

When applying to sell through MakerVA, you must provide truthful and accurate information about yourself and your eligibility.

MakerVA may request reasonable information to verify eligibility.

MakerVA reserves the right to approve or refuse applications where necessary to protect the purpose, integrity or security of the marketplace.

3. Maker accounts

You are responsible for keeping your account information accurate and up to date and for keeping your login details secure.

You must notify MakerVA promptly if you believe your account has been accessed without permission.

You may not impersonate another person or business or provide false or misleading information.

4. Products

You are responsible for every product you list on MakerVA.

Product listings must be accurate and must not mislead customers.

You must ensure that products you sell are safe, lawful and suitable for sale and comply with applicable UK product-safety, labelling and other legal requirements.

You must not list counterfeit, stolen, illegal, dangerous or otherwise prohibited products.

MakerVA may remove a listing where we reasonably believe it breaches these terms, applicable law or marketplace standards.

5. Prices and stock

You are responsible for setting accurate prices and maintaining accurate stock information.

Prices displayed to consumers must comply with applicable consumer and pricing laws.

You must not deliberately advertise products that you cannot reasonably supply.

6. MakerVA commission

MakerVA currently charges a 10% commission on product sales made through the marketplace.

The applicable commission will be calculated through the MakerVA marketplace system.

MakerVA may change its commission or fee structure in the future. Makers will be informed of material changes before they apply to future sales.

7. Payments and withdrawals

Customer payments are processed through the payment facilities provided on MakerVA.

The marketplace records the maker’s earnings after the applicable MakerVA commission and other applicable adjustments.

Under the current withdrawal arrangements, maker funds become eligible for withdrawal when the relevant order reaches the required Completed status.

The current minimum withdrawal amount is £10.

The currently available withdrawal method is bank transfer.

Makers are responsible for providing accurate payment and bank information.

MakerVA may reasonably delay or withhold a withdrawal while investigating suspected fraud, a disputed transaction, refund, chargeback or breach of this Agreement.

8. Orders and delivery

When a customer purchases your product, you are responsible for fulfilling that order accurately and within the delivery times stated to the customer.

You are responsible for appropriate packaging and dispatch of your products.

You must communicate honestly with customers where an order is delayed or there is a problem fulfilling it.

9. Returns, refunds and consumer rights

Makers selling to consumers must comply with applicable UK consumer law.

Nothing in this Agreement removes or restricts a customer’s statutory rights.

Where a customer is legally entitled to cancel an order, return goods, receive a repair or replacement, obtain a price reduction or receive a refund, the maker must cooperate in providing the appropriate remedy.

MakerVA may deduct refunds, chargebacks or other amounts relating to a maker’s transactions from the maker’s available or future balance where appropriate.

Separate marketplace returns and refund information may also apply.

10. Personalised and made-to-order products

Certain personalised or bespoke products may be treated differently under consumer cancellation rules.

Makers are responsible for accurately describing personalised or made-to-order products and must not state that a customer has no cancellation or refund rights where the law provides otherwise.

11. Customer information

You may receive personal information about customers where necessary to fulfil orders.

You must keep this information secure and use it only for legitimate purposes such as fulfilling the customer’s order, providing customer service and complying with legal obligations.

You must not add MakerVA customers to unrelated marketing lists without an appropriate lawful basis.

12. Intellectual property

You must have the right to use all photographs, designs, trademarks, descriptions and other material included in your listings.

You must not list products that infringe another person’s intellectual-property rights.

You retain ownership of your own content.

By uploading content to MakerVA, you give MakerVA permission to display and use that content as reasonably necessary to operate and promote the marketplace and your products.

13. Taxes

Makers are responsible for their own tax affairs and for determining and paying any taxes applicable to their sales or business.

MakerVA does not provide individual tax advice.

Where MakerVA is legally required to collect, retain or provide information to a tax authority or other government body, MakerVA may do so.

14. Reviews and marketplace conduct

Makers must not create, purchase, commission or encourage fake or misleading reviews.

You must treat customers, other makers and MakerVA representatives fairly and respectfully.

Fraudulent, abusive or deliberately misleading conduct may result in suspension or termination of your account.

15. Product safety and recalls

If you discover that a product you have sold or listed may be unsafe, you must take appropriate action and notify MakerVA promptly where the product has been offered through MakerVA.

You must cooperate with reasonable action required to protect customers, including removing affected listings and dealing appropriately with safety complaints, corrective action or recalls.

16. Suspension and termination

MakerVA may temporarily suspend listings, withdrawals or accounts where reasonably necessary to investigate fraud, safety concerns, customer complaints, legal issues or breaches of this Agreement.

MakerVA may terminate a maker account for serious or repeated breaches.

Where reasonably practicable, we will explain the reason for action taken.

17. Changes to MakerVA

MakerVA is a developing marketplace. We may introduce, remove or change features as the service develops.

We may also update this Agreement where necessary because of changes to MakerVA, fees, law or regulation.

Material changes affecting makers will be communicated appropriately.

18. Liability

Nothing in this Agreement excludes or limits liability where doing so would be unlawful.

To the extent permitted by law, each maker remains responsible for their own products, listings, business activities and compliance with applicable law.

19. Governing law

This Agreement is governed by the laws of England and Wales, subject to any mandatory rights that apply.
